Presentation of the transaction
TSC SA (“TSC”) is a Swiss company specialising in air conditioning and industrial piping. The company is based in western Switzerland and is mainly active in the fields of heating, ventilation, air conditioning and sanitation (“HVAC”) as well as in the realisation of technical networks for buildings and industrial infrastructures.
TSC is active in the planning, installation and assembly of HVAC systems and supports its customers in technical projects of various sizes, mainly on behalf of installers and players in the construction industry.
TSC employs 120 people. The company has recognised expertise in its field and a strong regional presence, which enables it to meet the needs of its customers from the planning to the implementation of systems that contribute to energy efficiency and the smooth operation of buildings and infrastructures.
Demathieu Bard is an independent French company founded in 1861 in Lorraine. Today, the group has recognised expertise in civil engineering and the construction of all types of buildings. It is currently one of the 10 largest French construction groups and is represented in Luxembourg, France, Germany, the USA, Canada and Switzerland with around 4,000 employees and a turnover of 2.1 billion euros.
The integration of TSC into the Demathieu Bard Group is part of the development strategy of its multi-technical division. The aim of the transaction is to strengthen the Group’s expertise in the areas of air conditioning and building technology in order to meet the growing market requirements in terms of energy efficiency, building comfort and sustainable technical solutions.
This merger will also enable the Demathieu Bard Group to strengthen its presence and develop its activities on the Swiss market by relying on the company’s expertise, local roots and teams.
Dimension SA acted as sole financial advisor to the shareholders of TSC SA in this transaction.
In particular, our role was to assist the shareholders in preparing their strategic approach, structuring and managing the divestment process, finding the right partner and supporting the parties in the negotiations leading to the finalisation of the transaction.
