Presentation of the transaction

Steiner Construction SA, a major player on the construction market in French-speaking Switzerland for over 100 years, today has an annual turnover of 300 million Swiss francs and employs over 200 people. The company realises important, complex and symbolic construction projects in French-speaking Switzerland.

Demathieu Bard is an independent French company founded in 1861 in Lorraine. Today, the group has recognised expertise in civil engineering and the construction of all types of buildings. It is one of the ten largest construction groups in France and employs around 4000 people in Luxembourg, France, Germany, the USA and Canada.

Through this transaction, Steiner Construction AG will strengthen its position on the Swiss market by supporting a major international construction company. For Demathieu Bard, this acquisition will increase the Group’s turnover to 2.1 billion euros, with a total workforce of more than 4,000 employees in 6 countries. It is the Group’s largest acquisition to date and represents a strategic step in its international development.

Stéphane Monceaux, Managing Director of the Demathieu Bard Group

Our priority now is to ensure the success of the acquisition by promoting synergies between our expertise and know-how.”

Pascal Langeron, CEO of Steiner Construction SA

“This acquisition represents a real development opportunity for Steiner Construction SA and should enable it to strengthen its position as a reference company in the region.”

Arjun Dhawan, Delegate of the Board of Directors of Steiner AG

“This transaction also paves the way for a phase of new developments and growth in Switzerland and internationally, creating value for our shareholders.”

Dimension SA acted as exclusive financial advisor to Steiner AG on the sale of Construction SA by conducting a structured and competitive sale process.

In particular, our role was to prepare the process, put together a team of experts, address the anticipated complexities, prepare the sales documentation, identify potential investors, manage the due diligence phase and lead the negotiations through to completion.

Pascal Langeron, CEO of Steiner Construction SA

“We are very grateful to the Dimension team for their professionalism and the quality of their guidance throughout the M&A process, which led to the success of the project.

Thanks to its proven expertise and tireless commitment, Dimension was able to familiarise itself very quickly with the financial, legal and technical challenges of the transaction.

In addition, Dimension very quickly understood the specifics of the company’s business in its territory as well as the competitive and economic context in which its shareholder’s actions were located.

Thanks to his acumen, his detachment and his solution-orientated attitude in win-win mode, Dimension was able to gain the trust of all parties involved, without which the transaction would not have been completed.

Apart from the figures, the most important thing is the mutual trust between the parties involved.

Congratulations and thanks again to Dimension for understanding this very quickly and achieving the result in a very short time.”

Arthur Magis, General Director of Dimension and consultant to Steiner AG

“The sale of Steiner Construction SA, a leading player in the general contracting sector in western Switzerland, represents a significant transaction in the Swiss construction industry.

Our experience with other transactions in this sector allowed us to quickly grasp the challenges and had already shown us that the universe of potential buyers in this area is very limited, especially for companies of this size. This also allowed us to build a relationship with the Demathieu Bard Group, whose development intentions in Switzerland and in this sector were known to us.

We are delighted that Demathieu Bard has been able to acquire this player, which is recognised in Switzerland, as part of its international development strategy and are convinced of the potential synergies with this new, highly reputable industrial shareholder.

Aside from the significant financial, personnel or industrial challenges, this transaction presented a relatively large number of complexities that we, as principal financial advisor, had to anticipate and address with the support of the various experts to ensure that this transaction could be successfully completed.”
